Terms of service

These terms govern your use of memsprout, a service operated by Tenmile LLC ("memsprout," "we," "us"). By creating an account or using memsprout, you agree to these terms.

1. The service

memsprout is a shared memory layer for people and their AI tools: you and your team capture memories — notes, decisions, procedures, facts — and retrieve them through the memsprout app and connected AI assistants via the Model Context Protocol (MCP) and similar integrations.

2. Accounts

You need an account to use memsprout. Keep your credentials secure; you are responsible for activity under your account, including activity by AI assistants you connect and teammates you invite. Provide accurate information and keep it current. You must be at least 16 years old (or the age of digital consent where you live) to use memsprout.

3. Your content

Memories, attachments, and other content you store in memsprout are yours. You grant us the limited license needed to operate the service — to store, process, index, display, and transmit your content to you, to teammates you share it with, and to AI tools you connect. We claim no other rights to it.

You are responsible for what you store. Don't store content that is unlawful, that infringes others' rights, or that you don't have permission to share.

4. Shared spaces

Content you place in a shared space is visible to that space's members under the roles the space defines (owner, editor, viewer). Sharing decisions are yours: memsprout defaults new captures to your personal space, and content only enters a shared space when you or a tool acting on your instruction puts it there. Space owners control membership; removing a member ends their access to the space's content going forward.

5. AI processing and connected tools

memsprout processes your content with third-party AI APIs to make it useful — for example generating embeddings for search and classifying memory types. Under our agreements with these providers, your content is not used to train their models. When you connect an AI assistant to memsprout, that assistant reads and writes memories on your behalf under your account's permissions; the assistant itself is governed by its own provider's terms.

6. Subscriptions and billing

Paid plans are billed through Stripe. Trials are free for the stated period and require no payment method; when a trial ends without a subscription, access to paid features stops but your content remains available for export for a reasonable period. Team plans bill per active member and adjust automatically as members join or leave. You can cancel any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. If we change the price of a plan you are subscribed to, we will give you at least 30 days' notice by email before the new price takes effect.

7. Acceptable use

Don't misuse the service: no unauthorized access, probing, or disruption; no abusive load; no using memsprout to store or distribute malware, spam, or unlawful content; no reselling the service without our agreement. We don't pre-screen content, but we may remove content that violates these terms or the law.

8. Intellectual property

Your content is yours (section 3). The service itself — the memsprout software, design, and branding — belongs to Tenmile LLC or its licensors, and using memsprout gives you no ownership of it. Don't copy, resell, or reuse substantial portions of the service without our written permission.

Content stored in memsprout must comply with U.S. copyright law. To report content you believe infringes your copyright, email support@memsprout.com with details of the work and where it appears; we will review and respond.

9. Termination

You can delete your account at any time — see the privacy policy for how deletion and export work. We may suspend or terminate accounts that violate these terms, with notice where practicable. Sections that by their nature should survive termination (your content rights, disclaimers, liability limits) survive.

10. Disclaimers

memsprout is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or that AI-generated organization (such as automatic classification) will be accurate. AI assistants connected to memsprout can make mistakes; verify important information.

11. Limitation of liability

To the maximum extent permitted by law, Tenmile LLC's total liability arising out of or related to the service is limited to the amounts you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.

12. Changes

We may update these terms as the service evolves. For material changes we will give notice (for example by email or in the app) before they take effect. Continuing to use memsprout after changes take effect means you accept them.

13. General

These terms and the privacy policy are the entire agreement between you and us about memsprout. If part of these terms turns out to be unenforceable, the rest stays in effect. If we don't enforce a provision at some point, that is not a waiver — we may enforce it later. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

14. Governing law

These terms are governed by the laws of the State of Maryland, USA, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Maryland, and you consent to their jurisdiction.
